1. Agreement to Terms

By enrolling in any Capital Club program, purchasing our products, or using our website, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

These Terms constitute a legally binding agreement between you and 1585189 B.C. LTD., doing business as Capital Club ("Capital Club", "we", "us").

2. Services Provided

Capital Club offers:

• Stock market and investing education and training programs
• Market research, analysis, watchlists, and trade alerts delivered via Discord
• Monthly and annual membership subscriptions
• Group coaching and educational programs
• Portfolio review and mentorship sessions
• Educational resources, courses, and investing frameworks
• Access to private Discord community and support channels

All services are for educational and informational purposes only. We do not provide personalized financial advice, portfolio management, or investment management services. Any trade alerts, portfolio updates, or market commentary reflect the personal decisions and opinions of Billy Zhang and are shared for educational purposes, not as recommendations tailored to your individual circumstances.

3. Eligibility

Our services are intended for individuals who are:

• 18 years of age or older
• Legally capable of entering into binding contracts
• Aware that investing involves risk, including the potential loss of capital
• Committed to learning and applying the frameworks taught in our programs

By enrolling, you represent and warrant that you meet these eligibility requirements.

4. Application & Enrollment Process

Application-Based Programs

Certain programs (such as mentorship and higher-tier coaching programs) require an application and approval process. Submitting an application does not guarantee acceptance. We reserve the right to accept or decline any application at our sole discretion.

Enrollment Confirmation

Enrollment is confirmed only upon:

• Acceptance of your application (if applicable)
• Receipt of full payment or approval of payment plan
• Confirmation email or access credentials provided

5. Payment Terms

Pricing

All prices are listed in USD and are subject to change. Pricing in effect at the time of your enrollment will be honored for that transaction.

Payment Methods

We accept payment through:

• Credit/debit cards (processed through Stripe or similar providers)
• PayPal
• Third-party payment or financing partners (where available)
• Payment plans (where offered and approved)

Subscription Memberships

If you enroll in a monthly or annual membership:

• Monthly memberships automatically renew each month until cancelled
• Annual memberships renew at the end of the 12-month term unless cancelled
• You may cancel future renewals at any time, but no partial refunds will be issued for the current billing period

Payment Plans

If you enroll in a payment plan:

• You agree to make all scheduled payments on time
• Missed payments may result in suspension of access until payment is current
• Continued non-payment may result in termination and collections

Taxes

You are responsible for any applicable taxes, duties, or fees related to your purchase.

6. Refund & Cancellation Policy

Program Refunds

Given the digital and personalized nature of our investing education services:

• All sales are final once you have been granted access to program materials, research, alerts, or coaching sessions
• No refunds will be issued after you have accessed course content, attended coaching calls, joined the Discord community, or received research or trade alerts
• Refund requests made before accessing any program content will be reviewed on a case-by-case basis

Cooling-Off Period

You may request a refund within 72 hours of purchase if:

• You have not accessed any course materials, research, alerts, or community resources
• You have not attended any live sessions or coaching calls
• You have not engaged with coaching staff or received personalized support

Membership Cancellations

If you wish to cancel your membership:

• You may cancel future renewals at any time through your account or by contacting us
• Access continues until the end of your current billing period
• No partial refunds are issued for unused portions of your subscription

Payment Plan Cancellations

If you are on a payment plan and wish to cancel:

• You remain responsible for payments already made (non-refundable)
• Future payments may be cancelled, but access to the program will be terminated
• Outstanding balances may be sent to collections if not resolved

Chargebacks

Initiating a chargeback or payment dispute instead of contacting us directly:

• May result in immediate termination of access
• May result in legal action to recover costs
• Does not constitute a valid refund process

7. Program Access & Delivery

Access Duration

• Monthly memberships provide access for the duration of active subscription
• Annual memberships provide 12 months of access from purchase date
• Course access is typically provided for the duration specified at purchase
• Mentorship and coaching programs run for their designated timeframe

We reserve the right to extend or modify access periods as we see fit.

Platform Changes

We may change, update, or migrate to different hosting platforms (including Discord servers) at any time. You will be notified of significant platform changes.

Technical Requirements

You are responsible for:

• Having compatible devices and internet connection
• Maintaining the security of your login credentials
• Accessing materials and updates within the provided timeframe

8. SMS/Text Message Terms

Program Name: Capital Club

Program Description: When you opt in to receive SMS or text messages from Capital Club, you may receive transactional messages related to your program enrollment, including enrollment confirmations, onboarding steps, coaching session reminders, appointment notifications, and customer support communications regarding your investing education services.

Message Frequency: Message frequency varies based on your program enrollment and interaction with our services.

Opt-Out: You can cancel SMS messages at any time. Text "STOP" to the number from which you received the message. After you send "STOP," we will send you a confirmation message that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to receive messages again, you may opt back in by following the enrollment process.

Help: If you are experiencing issues with our messaging program, reply with the keyword HELP for more assistance, or contact us directly at growth@joincapitalclub.com.

Carrier Liability: Carriers are not liable for delayed or undelivered messages.

Message and Data Rates: Message and data rates may apply for any messages sent to you from us and to us from you. If you have any questions about your text plan or data plan, contact your wireless provider.

No Sharing of Your Information: Your phone number and SMS consent will never be sold, shared, or transferred to any third party, including affiliates. Your consent to receive SMS messages is solely for communications between you and Capital Club.

9. User Responsibilities & Conduct

You agree to:

• Provide accurate information during application and enrollment
• Not share, distribute, or resell any program content, research, or alerts
• Not record, screenshot, or reproduce materials without permission
• Engage respectfully with coaches, analysts, staff, and other community members
• Take full responsibility for your own investment decisions and results
• Not use our services for any illegal or unethical purposes

Prohibited Actions

You may not:

• Share login credentials, Discord access, research, or alerts with others
• Reproduce or redistribute our intellectual property, frameworks, or research
• Harass, threaten, or abuse staff or community members
• Make false claims about our programs or results
• Use our brand, name, or likeness without written permission
• Resell or redistribute research, alerts, or member content to non-members

Violation of these terms may result in immediate termination without refund.

10. Intellectual Property Rights

Our Content

All content provided through Capital Club, including but not limited to:

• Course materials, videos, and educational resources
• Investing frameworks, research processes, and methodologies
• Research reports, watchlists, alerts, and market analysis
• Website content and branding

License Grant

Upon enrollment, you receive a limited, non-exclusive, non-transferable license to access and use program materials solely for your personal, non-commercial use.

Restrictions

You may not:

• Copy, modify, or create derivative works from our content
• Sell, license, or distribute our materials, research, or alerts
• Remove copyright or proprietary notices
• Use our content to create competing products or services

11. Investment Risk Disclaimer

No Guarantee of Results

Investing in stocks and other securities involves substantial risk of loss and is not suitable for all investors. While we provide education, frameworks, and research based on our own experience:

• We make no guarantees regarding your specific investment results, returns, profits, or success

• Testimonials and member wins represent individual experiences and are not typical results

• You could lose some or all of your invested capital
• You should only invest money you can afford to put at risk

• No spam, self-promotion, or solicitation without permission
• Understand that we moderate discussions and may remove disruptive members

• Change pricing for future enrollments
• Update course content, frameworks, and materials
• Adjust coaching schedules, research delivery methods, or formats

We will make reasonable efforts to notify active members of significant changes.

18. Changes to These Terms

We may update these Terms periodically. Changes will be effective upon posting to our website with a new "Last updated" date. Continued use of our services after changes constitutes acceptance of the updated Terms.

For material changes affecting active enrollments, we will provide reasonable notice.

19. Governing Law & Disputes

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Dispute Resolution
